The Panda Pod $500 Sweepstakes (the “Sweepstakes”) is sponsored by Media Hamster Ltd (“Sponsor”). By participating in the Sweepstakes, you agree to comply with and be bound by the following Panda Pod $500 Sweepstakes Rules (the “Official Rules”). Please read the Official Rules carefully. If you do not agree to the terms and conditions of the Official Rules in their entirety, you are not eligible to participate in the Sweepstakes.
ELIGIBILITY:
The Sweepstakes is open only to individuals who are citizens or lawful permanent residents of the United States and the District of Columbia, and who are at least eighteen (18) years of age or older (or the applicable age of majority in their respective jurisdictions). Participants must be able to enter into legally binding contracts under applicable law. The Sweepstakes is void in Puerto Rico and where prohibited by law. Employees, officers, and directors of Sponsor, Monsii Ltd. (“Administrator”), their respective parents, subsidiaries, and affiliated companies, and each of their legal representatives, advertising, promotional, fulfillment, and marketing agencies, as well as their immediate families (and those living in their respective households), are not eligible to participate or claim the Prize (as defined below) in the Sweepstakes. By participating, each entrant fully and unconditionally agrees to the decisions of the Sponsor and Administrator, which are final and binding in all matters related to the Sweepstakes. Winning the Prize is contingent upon fulfilling all requirements set forth herein.
SWEEPSTAKES PERIOD:
The Sweepstakes period begins at 12:00:00 a.m. Eastern Standard Time (“EST”) on April 1, 2023, and ends at 11:59:59 p.m. EST on June 30, 2023 (the “Sweepstakes Period”). Entries must be received prior to the expiration of the Sweepstakes Period to be eligible for the Prize.
HOW TO ENTER:
a) Website Entries: Participants who have an active member account in good standing (“Member Account”) on the Sponsor’s website located at panda-pod.com (the “Site”) at any time during the Sweepstakes Period will receive an automatic entry into the Sweepstakes (each, a “Website Entry”). To open a Member Account, you must complete the registration form available on the Site. The required information includes your full name, mailing/billing address, email address, telephone number, PayPal® account and/or credit card information, and any other information requested by us on the registration form (collectively, “Website Registration Data”). Please note that purchasing our products is entirely optional, and it will not increase your odds of winning. Potential Prize winners may be required to provide additional information, such as date of birth, Social Security Number, picture proof of identification, and any other information requested by Sponsor for Prize verification/award purposes (“Prize Winner Data”).
(b) Alternative Means of Entry: As an alternative means of entry, participants may submit their information (AMOE Registration Data) via the designated entry form on the Site (each, an “AMOE Entry Form”). AMOE Entry Forms must be received by Sponsor no later than 11:59:59 p.m. EST on March 31, 2023, to be eligible for the Prize drawing. Any improperly submitted AMOE Entry Forms will be void. Each participant may receive only one (
1) AMOE Entry in the Sweepstakes, and any additional AMOE Entries submitted by the same individual will be discarded.
If you prefer to enter the Sweepstakes via the Alternative Means of Entry, please complete the “AMOE Entry Form.”
(c) Entry Limits/General Provisions: Each participant may submit a maximum of one (1) Entry during the Sweepstakes Period. For example, if you submit an AMOE Entry during the Sweepstakes Period, you will not be eligible to submit a Website Entry during the same period. Multiple individuals are not permitted to share the same email address. Any attempt by an individual to obtain more than the permitted number of Entries by using multiple/different mobile devices, identities, registrations, usernames, or any other method will result in disqualification. The use of any automated system to participate in the Sweepstakes is prohibited and will lead to disqualification. Sponsor reserves the right to reject any Entry that it believes, in its sole and reasonable discretion, is fraudulent, incomplete, or otherwise invalid. Participants must update their Registration Data as necessary to remain eligible for the Prize. Sponsor is not responsible for lost, late, illegible, misdirected, damaged, incomplete, or incorrect Entries, sweepstakes-related emails, push notifications, claims, or notices. By participating in the Sweepstakes and providing consent, you agree to receive email and direct mail marketing messages from Sponsor and its marketing partners, subject to the Sponsor Privacy Policy. Please refer to the “Privacy Statement” section below for a link to the Sponsor Privacy Policy.
IDENTIFICATION OF PARTICIPANTS:
Each Entry will be identified by the email address associated with it, as collected and stored in the Sweepstakes Database. The Sweepstakes Database consists of the entire list of valid Entries generated during the Sweepstakes Period. Sponsor will stop accepting Entries at 11:59:59 p.m. EST on June 30, 2023.
HOW TO WIN THE PRIZE:
Within thirty (30) days of the end of the Sweepstakes Period, the Administrator will randomly select one (1) Entry from the Sweepstakes Database (“Winner Selection”). The potential Prize winner will be notified via email within ten (10) days after the Winner Selection. The potential Prize winner must undergo eligibility verification. The winner will be required to provide Prize Winner Data and may need to execute a notarized Affidavit of Eligibility and Liability/Publicity Release (“Affidavit”). Additionally, the potential Prize winner may be asked to provide picture proof of identification, such as a driver’s license, passport, voting card, or similar government-issued identification, and proof that they submitted the winning Entry.
Failure to comply with the requirements within the specified time period may result in forfeiture of the Prize, and an alternative winner will be selected. The return of the Prize and/or Prize notification as undeliverable may also result in forfeiture. Sponsor shall not be liable if a potential Prize winner fails to receive a notification sent from Sponsor or if Sponsor does not receive a response from a potential Prize winner within the required timeframe. The winning Entry and the associated information of the potential Prize winner must match the records maintained by Sponsor and Administrator for the Prize to be awarded. In case of a dispute, the information maintained by Sponsor and Administrator will prevail. Entries will be considered as made by the person under whose email address the Entry was submitted, regardless of the actual submitter’s identity.
PRIZE DESCRIPTION:
(a) Prize: The Prize winner will receive either: (a) a lump sum payment of Five Hundred Dollars ($500.00); or (b) a gift card in the amount of Five Hundred Dollars ($500.00) (collectively, the “Prize”). The gift card may be subject to terms, conditions, and restrictions established by the issuer.

Terms and Conditions: The approximate retail value (“ARV”) of the Prize is Five Hundred Dollars ($500.00). The Prize winner will not receive the difference between the actual Prize value and the ARV.
ODDS OF WINNING:
The odds of winning the Prize depend on the number of participants in the Sweepstakes during the Sweepstakes Period.

TAX INFORMATION:
Federal, state, and local taxes, as well as similar fees and assessments, are the responsibility of the Prize winner. Sponsor reserves the right to withhold taxes from the Prize as appropriate. Where required by law, Sponsor will issue a Form 1099-MISC for the Prize winner in the amount of the Prize.
NO SUBSTITUTION OF WINNERS:
The Prize is non-transferable, and no substitution or transfer of the Prize will be allowed, except as expressly stated herein or at the Sponsor’s sole discretion. Sponsor reserves the right to substitute the Prize or any portion thereof with a substitute of equal or greater value for any reason.
PUBLICITY:
Except for residents of Tennessee and where prohibited by law, participating in the Sweepstakes grants permission to Sponsor to use the participant’s name and likeness for promotional purposes related to Sponsor, its products, and/or its online platforms in any marketing and promotional material, including but not limited to email marketing, online ads, social media ads, and printed extracts.
RELEASE:
By participating in the Sweepstakes, each participant agrees to release and hold harmless the Covered Parties from any and all liability for any injuries, losses, or damages of any kind arising from or in connection with the Sweepstakes (including the Prize), including but not limited to liability arising from copyright infringement, improper use of likeness, personal injury, death, damages, or monetary loss. Restrictions, conditions, and limitations apply. In the event of any conflict or inconsistency between the Official Rules and any advertisements, promotional or marketing materials, emails, or announcements relevant to the Sweepstakes, the Official Rules will prevail.
ADMINISTRATOR:
The Administrator is not involved in marketing the Sweepstakes and will not respond to any inquiries. The Administrator is solely responsible for selecting the potential Prize winners.
CHOICE OF LAW/DISPUTE RESOLUTION/CLASS ACTION:
The Official Rules shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law principles. The parties agree to arbitrate all claims arising from or related to the Sweepstakes and the Official Rules. Any dispute between the parties, including but not limited to those concerning the Sweepstakes, the Prize, the Official Rules, or their breach, shall be resolved through arbitration before the American Arbitration Association (“AAA”) in New York, NY, in accordance with the AAA’s Commercial Arbitration rules. The parties must first commence a formal dispute proceeding by completing and submitting an Initial Dispute Notice. The Covered Parties named in the Initial Dispute Notice may choose to provide a Final Settlement Offer. If the potential Prize winner does not accept the Final Settlement Offer or the dispute is not satisfactorily resolved, the dispute must be submitted for arbitration before the AAA. The arbitration may proceed in person, by telephone, or based on submissions for claims of $10,000
or less. The Named Party(ies) will pay all fees associated with the arbitration if the arbitrator awards the participant relief greater than the Final Settlement Offer. The arbitrator’s decision will be final and binding, and a judgment may be entered in any court of competent jurisdiction. Participants may opt-out of these dispute resolution provisions within thirty (30) days of entering the Sweepstakes by providing written notice.
DISQUALIFICATION:
The Covered Parties are not responsible for lost, interrupted, or unavailable network server or other connections, miscommunications, failed telephone or computer transmissions, technical failures, lost Entries, jumbled, scrambled, or misdirected transmissions, or any other errors, whether human, mechanical, or electronic. Any individual found tampering with or abusing any aspect of the Sweepstakes will be disqualified. Sponsor reserves the right to terminate the eligibility of any participant who fails to submit an Entry during the Sweepstakes Period or for any other valid reason. In the event that any portion of the Sweepstakes is compromised due to technical errors, viruses, bugs, unauthorized intervention, or any other causes beyond Sponsor’s control that corrupt or impair the administration, security, fairness, or proper conduct of the Sweepstakes, Sponsor reserves the right to suspend, terminate, or modify the Sweepstakes, or any part thereof, at its sole discretion. The Covered Parties are not responsible for any Entries generated by computer hardware or software malfunction, error, or failure, regardless of the cause.
INDEMNIFICATION:
By participating in the Sweepstakes, participants agree to release, indemnify, and hold the Covered Parties harmless from any and all claims, expenses (including reasonable attorneys’ fees, costs, and settlement costs), damages, suits, costs, demands, and/or judgments made by any third party due to or arising from: (a) improper or unauthorized participation in the Sweepstakes; (b) breach of the Official Rules; and/or (c) violation of the rights of another individual or entity. The provisions of this paragraph benefit the Covered Parties, who may assert and enforce them directly against participants.
LEGAL WARNING:
Any attempt by any individual, whether a participant or not, to damage, destroy, tamper with, or vandalize any portion of the Sweepstakes, or to interfere with its operation, is a violation of criminal and civil law. Sponsor will pursue all available legal remedies against any offending individual or entity to the fullest extent permitted by law.
